Terms of Service

1. Acceptance of Terms

By accessing or using FrontDesq (the "Service"), operated by Dominic Lucenario, an individual based in the Philippines ("FrontDesq," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

FrontDesq provides an AI-powered chatbot platform that businesses can configure and embed on their own websites to interact with their customers. The Service includes our dashboard application (app.frontdesq.io), the embeddable chat widget, and related APIs.

3. Accounts

You must provide accurate and complete information when creating an account and are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

4. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis until you cancel. Fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our pricing with advance notice; continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Transmit unlawful, harassing, defamatory, or infringing content;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or related systems;
  • Use the Service to build a competing product.
  • We reserve the right to suspend or terminate accounts that violate this section.

6. Your Content

You retain ownership of the content, data, and configurations you upload or create using the Service (collectively, "Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely as necessary to provide the Service. You are responsible for ensuring you have the necessary rights to any content you provide, including content used to train or configure your chatbot.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by FrontDesq and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding features except as necessary to use the Service as intended (e.g., displaying the embedded chat widget on your website).

8. Third-Party Services

The Service may integrate with or rely on third-party services (e.g., payment processors, analytics providers, or AI model providers). We are not responsible for the availability or performance of third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated responses will be accurate, complete, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, FrontDesq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold FrontDesq harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Customer Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
